ARTICLE 1: FORMATION AND OBJECTIVES

1.1 The Penya was formed as a non-profit organisation under the Companies Act of 1985-1989 with the title "Penya Union Blaugrana” (PUB).

1.2 The purpose of the Penya is to unite and expand the fan base of FC Barcelona within the United Kingdom, encouraging our members to attend matches at the Camp Nou and elsewhere, and to join FC Barcelona as socis. The Penya is also committed to assisting UK based fans of FC Barcelona in their travel plans and ticketing arrangements wherever possible and also to furthering the knowledge and appreciation of Catalunya and its cultural heritage.

1.3 For administrative purposes the headquarters of the Penya are at 25 Glengarry Road, Perth, Perthshire, PH2 0AQ.


ARTICLE 2: COMPOSITION OF THE PENYA AND MEMBERSHIP

2.1 The Penya is comprised of the executive committee, general members and honorary members where it is deemed appropriate to award honorary membership.

2.2 General membership of the PUB is open to any UK resident or British national who feels an affiliation towards FC Barcelona. Additionally any resident of a country with no existing FC Barcelona Penya is free to join PUB subject to clearance by the executive committee. Although the PUB doesn't have an age restriction to join, ticket applications and official PUB events and meetings are however restricted to over 18's only (unless a parent or guardian is present). Failure to comply would mean a ban from the PUB.

2.3 Membership of the executive committee is only open to existing members of PUB appointed to the executive committee by a vote of existing committee members or during elections as set out in article 4.

2.4 Termination of membership can be incurred in the following circumstances:

- Resignation submitted in writing to the president
- Death
- A unanimous decision by the executive committee to expel a member due to non-payment of fees or any incident of misconduct detailed in article 2.5

2.5 INCIDENTS OF MISCONDUCT:

-Abuse of ticketing privileges gained through PUB
-Serious abuse of another PUB member
-Any attempt to disrupt the running of PUB
-Gaining multiple memberships to PUB for any one individual
-Improper conduct while representing PUB and/or FC Barcelona
-Any other incident deemed by the executive committee to be sufficiently serious.

ARTICLE 3: ASSETS AND ACCOUNTS

3.1 The liquid assets of PUB are any monies gained from membership fees and members' donations as well as donations from third parties. All monies received will be deposited into the Penya's accounts and a record of receipts kept to justify the use of funds

3.2 The appointed treasurer is responsible for maintaining the Penya’s accounts, keeping a record of income and expenditure and reporting back to the executive committee and the membership body.

3.3 Any monies in the Penya account will be used exclusively for the benefit of the Penya as a whole as well as to cover administrative and running costs of the Penya and the Penya's official website. It is expressly forbidden for any individual or group of individuals to make monetary gain from the Penya.

3.4 Any expenses paid for via the Penya account should have the consent of the whole executive committee.

3.5 At the end of the financial year 15% of any monies remaining in the accounts will be donated to Unicef for as long as FC Barcelona has an agreement with the charity. Should FC Barcelona and Unicef cease their agreement then this clause will be reviewed. Any other money will be kept over to pay for running costs of the Penya.


ARTICLE 4: ADMINISTRATION AND RUNNING OF THE PENYA

4.1i The Penya is governed by an executive committee of 4 members, although new members may be admitted under the conditions set out in article 2.3 and the articles below.

4.1ii Any decisions taken by the committee must be passed by the majority of all committee members when ever possible. When all committee members are available to vote, 75% of the members must partake in any vote for it to be binding. All members have the right to 24hrs to make their vote, but if a more urgent vote is needed, then members must be contacted in an agreed manner. In the event of an evenly split vote the President's decision is final. If a committee member declares themselves away their right to vote is automatically removed. In cases where one or more committee members have declared themselves away the remaining members may still pass decisions with a unanimous vote of the remaining members.

4.2 The Penya executive committee is comprised of five members, four of whom must take the roles of President, Vice-President, Secretary and Treasurer.

4.3 The tenure of committee members is 4 years. The founding committee members will commence their four year tenure at the start of the membership year although they will hold their positions from the moment the Penya comes into existence.

4.4i At the end of the 4 year tenure the committee members must be re-elected to their position if another penya member is nominated to contest an election, in the event that no penya member gains sufficient nominations the committee member will commence a new tenure. There is no limit to the amount of terms a committee member may serve.

4.4ii Members of the executive committee may resign from their position on the committee at any time. If this circumstance arises an election will be held to fill their position in accordance with articles 4.4iii and 4.5.

4.4iii In order to be considered for election to the executive committee a member of the PUB must be nominated by three other members during a nomination period to last between 5 and 7 days. He/she must also have been a paid-up member of PUB for a minimum of 12 calendar months.

4.5 In order to vote in elections Penya members must have been a paid-up member of the PUB for a minimum of 12 calendar months.

4.6 Elections will be held via the PUB official website in the Penya members section.


ARTICLE 5: GENERAL MEETINGS

5.1 Regular general meetings of the executive committee will be held online to ensure the effective running of the penya. It is agreed that all committee members shall attend unless unforeseen circumstances arise.

5.2 The president of the Penya may convene an extraordinary general meeting of the executive committee at any time, subject to giving 72 hours notice to the other committee members.

5.3 At any meeting 75% or more of the committee members must be present for a vote to be binding, as defined in article 4.1ii.

5.4 If any committee member misses consecutive general meetings then their position will be subject to a vote of confidence by the other members of the executive committee. If a vote of no confidence is returned then the rules under article 4 apply.

ARTICLE 6: ALTERATIONS TO THE STATUTES

6.1 The statutes may be altered at any time subject to a vote of the executive committee. The vote is subject to the rules laid out in articles 4.1ii and 5.4.

6.2 Exceptions to article 6.1 are articles 1.1, 1.2, and 3.3 which may not be altered.


ARTICLE 7: DISSOLUTION OF THE PENYA

7.1 The lifespan of the Penya is unlimited and it may only be dissolved by a unanimous vote of the entire executive committee and a 75% majority of the general membership or the decision of FC Barcelona.

7.2 In the event of dissolution all legal requirements set out in the Companies Act of 1985 to 1989 will be adhered to.
